CLA — Contributor License Agreement

1. Purpose of This Agreement

This Contributor License Agreement ("CLA") clarifies the terms under which you ("Contributor") may submit contributions to the Adaptive Intelligence Circle (AIC) project. By signing or agreeing to this CLA, you ensure that the project maintainers can safely use, distribute, and build upon your contribution in compliance with open-source standards and potential collaboration with organizations such as the Linux Foundation.


2. Definitions

  • “Contribution”: Any code, documentation, design, dataset, idea, fix, patch, or suggestion submitted to this project.
  • “Project”: The Adaptive Intelligence Circle (AIC) or related modules, repositories, tools, specifications, or subprojects.
  • “You”: The individual or entity submitting the contribution.

3. Copyright License

You grant the Project maintainers a perpetual, worldwide, non-exclusive, royalty-free, irrevocable copyright license to:

  • Reproduce the Contribution
  • Prepare derivative works
  • Publicly display and perform the Contribution
  • Distribute the Contribution
  • Sub-license the Contribution for use in both open-source and commercial contexts

This ensures the Project can continue to evolve without legal barriers.


4. Patent License

You grant a perpetual, worldwide, non-exclusive, royalty-free, irrevocable patent license to the Project for any patents you own or control that would otherwise be infringed by your Contribution.

This includes:

  • Implementation rights
  • Distribution rights
  • Necessary derivative works

If you later file a patent claim against AIC related to your contribution, your patent license under this CLA is automatically terminated.


5. Moral Rights Waiver

To the extent permitted by law, you waive any moral rights (such as attribution, integrity, or objecting to modifications). This is required for global standardization (similar to LF and Apache policy).


6. Representations and Warranties

By submitting a Contribution, you confirm:

  1. The Contribution is your original work, OR you have the right to submit it.
  2. The Contribution does not violate any third-party rights or agreements.
  3. The Contribution is not subject to confidentiality or export restrictions.
  4. You are legally able to enter this agreement.

7. No Obligation to Use the Contribution

You agree that the Project is not obligated to use or merge your Contribution.


8. License Consistency

You agree that your Contribution will be released under:

  • The project’s primary license (Apache 2.0 or other dual-license configuration used by AIC), and
  • Any additional licenses required for compatibility with Linux Foundation-style ecosystems or downstream adopters.

9. Governing Law

This CLA is governed by international open-source legal standards, not tied to a single jurisdiction, ensuring compatibility with global contributors.


10. Signature

By submitting a pull request, contribution, or signed digital artifact, you indicate your acceptance of this CLA.

If contributing on behalf of an organization, you represent that you are authorized to sign.
