  1. Grant of License

Subject to the terms and conditions of this Agreement, Welltested AI ("Licensor") hereby grants to you ("Licensee") a non-exclusive, non-transferable, limited license to use the welltested ("Software") solely with the designated APIs provided by the Licensor.

  1. Restrictions

a. Licensee shall not, and shall not permit others to, either directly or indirectly, modify, reverse engineer, decompile, disassemble, reproduce, retransmit, or create derivative works of the Software for the purpose of connecting it with any APIs or online services other than those provided by the Licensor.

b. Licensee shall not distribute or redistribute the Software, or any modified version of the Software, to other parties without the prior written consent of the Licensor.

  1. Term & Termination

This Agreement is effective upon Licensee's acceptance of the terms and conditions and shall continue in effect until terminated. The Licensor may terminate this Agreement at any time if the Licensee breaches any provision of this Agreement. Upon termination, the rights of the Licensee to use the Software shall cease immediately, and the Licensee must delete or destroy all copies of the Software in their possession.

  1. Liability & Warranty

The Software is provided "as-is" without any warranties, express or implied, including, but not limited to, any warranty of merchantability, fitness for a particular purpose, or non-infringement. In no event shall the Licensor be liable for any damages or losses arising from the use or inability to use the Software.

  1. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of USA/Delaware, without regard to its conflict of laws principles. Any disputes arising out of or in connection with this Agreement shall be resolved exclusively by USA/Delaware courts.

  1. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes all prior or contemporaneous understandings or agreements, whether written or oral.

By using the Software, you acknowledge that you have read, understood, and agreed to be bound by the terms and conditions of this Proprietary Software License Agreement.
