Closed-Source Non-Commercial License

This license ("License") is a closed-source, non-commercial license agreement between the individual or entity ("Licensee") and the owner of the software ("Licensor").

1. Grant of License: Licensor hereby grants Licensee a limited, non-exclusive, non-transferable license to use the software ("Software") solely for non-commercial purposes.

2. Restrictions: Licensee shall not, directly or indirectly: (a) modify, adapt, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software; (b) sublicense, sell, rent, lease, distribute, or otherwise transfer the Software or any rights therein to any third party; (c) use the Software for any commercial purpose or in violation of any applicable laws or regulations.

3. Ownership: Licensee acknowledges that the Software and all intellectual property rights therein are owned by Licensor. This License does not grant Licensee any rights to patents, copyrights, trade secrets, trademarks, or any other intellectual property rights of Licensor.

4. No Distribution: Licensee shall not distribute, publish, or make the Software available for download or access by any third party.

5. Warranty Disclaimer: THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. LICENSOR SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE.

6. Limitation of Liability: IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Governing Law: This License shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.

8. Termination: Licensor may terminate this License immediately upon written notice if Licensee breaches any provision of this License. Upon termination, Licensee shall cease all use of the Software and destroy all copies thereof.

9. Entire Agreement: This License constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
