+# RESOLUTIONS OF THE BOARD OF DIRECTORS
+
+Resolution in writing of the board of directors of Hypha Worker Co-operative Inc. (the "Co-operative") held on this 8th day of December, 2025.
+
+## BACKGROUND
+1. The Board of Directors of Hypha Worker Co-operative deems it necessary and appropriate to designate an individual with authority to execute documents and conduct transactions on behalf of the Co-operative.
+
+2. Amanda Argast (also known as Andi Argast) has been identified as a suitable individual to be granted such signing authority.
+
+## IT WAS RESOLVED THAT
+1. Amanda Argast is hereby authorized to sign contracts, agreements, and other documents on behalf of Hypha Worker Co-operative Inc.
+
+2. This signing authority shall remain in effect until modified or revoked by subsequent resolution of the Board of Directors.
+
+3. Financial institutions, vendors, and other third parties may rely upon this resolution as evidence of Amanda Argast's authority to act on behalf of the Co-operative.
+
+4. The Secretary of the Board is directed to provide certified copies of this resolution to any party that may reasonably require it.
